Please read these Terms carefully before using TimeQuorum. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and TimeQuorum, LLC, a South Carolina limited liability company ("TimeQuorum," "we," "us," or "our"), governing your access to and use of the TimeQuorum platform, including its web application, API, portal, and all associated services (collectively, the "Service").

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.

By clicking "Create Account," accessing the Service, or otherwise using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Services

TimeQuorum is a cloud-based time tracking and project management platform designed for professional teams and organizations. The Service allows users to:

  • Track time against projects, clients, and tasks
  • Manage team members, roles, and access permissions within a workspace
  • Generate reports on time usage and productivity
  • Create and manage client invoices
  • Access the Service via web browser and API
  • Administer multiple workspaces from a centralized portal

TimeQuorum provides the Service on a subscription basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to use the Service. By registering, you represent that you meet this age requirement and that all information you provide is accurate, current, and complete.

3.2 Workspace Ownership

When you register an organization workspace, you become the Workspace Owner. As the Workspace Owner, you are responsible for all activity that occurs within your workspace, including activity by invited team members, and for ensuring compliance with these Terms.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account. TimeQuorum is not liable for any loss or damage arising from your failure to protect your account credentials.

3.4 One Organization Per Registration

Each registration creates one organization workspace. Creating multiple workspaces to circumvent plan limits or free trial restrictions is prohibited and may result in account termination.

4. Subscription Plans and Billing

4.1 Available Plans

TimeQuorum offers the following subscription tiers:

Plan features and pricing are subject to change with at least 30 days' notice to active subscribers. Annual billing is available at a 15% discount versus monthly billing. Minimum 2 seats apply to paid plans.

4.2 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis, starting from the date you upgrade from the Free plan or from the date your trial period ends. Charges are per active seat based on the number of users in your workspace at the billing date.

4.3 Payment Processing

Payment is processed through Stripe, Inc. By providing payment information, you authorize TimeQuorum to charge your payment method for the applicable subscription fees. TimeQuorum does not store your full credit card number; payment processing is handled entirely by Stripe in accordance with their Privacy Policy.

4.4 Auto-Renewal

Subscriptions auto-renew at the end of each billing period unless cancelled before the renewal date. You may disable auto-renewal at any time through your workspace billing settings.

4.5 Seat Changes

You may increase or decrease the number of seats on your subscription at any time. Seat additions are billed on a prorated basis for the remainder of the current billing period. Seat reductions take effect at the start of the next billing period; no credit is issued for the current period.

4.6 Late Payment and Suspension

If a payment fails and auto-billing is enabled, your account will enter a 3-day grace period ("past due" status) during which access continues. If payment is not resolved within 3 days, your workspace will be suspended and access to the workspace application will be blocked until payment is received. Your portal account will remain accessible at all times to allow you to update billing information or downgrade your plan. If auto-billing is disabled and your subscription term ends without renewal, a 14-day grace period applies before suspension occurs.

5. Free Trial

Starter and Professional plans include a 14-day free trial period. No credit card is required to begin a trial. At the end of the trial period, you may upgrade to a paid plan or your workspace will automatically revert to the Free plan, subject to Free plan user limits. If your workspace exceeds Free plan limits at the time of trial expiry, a 14-day grace period applies before suspension.

TimeQuorum reserves the right to modify or discontinue the free trial offer at any time. One free trial per organization; accounts found to be creating multiple workspaces to access additional trial periods may be terminated.

6. Taxes

Subscription fees are exclusive of applicable taxes unless otherwise stated. TimeQuorum, LLC is based in South Carolina. Per South Carolina Revenue Ruling #20-1 and S.C. Code §12-36-910, cloud-based software subscriptions and software-as-a-service products are subject to South Carolina sales and use tax.

TimeQuorum may be required to collect and remit sales tax, use tax, value-added tax (VAT), goods and services tax (GST), or similar taxes based on your billing address. Applicable tax rates will be displayed at checkout and on your invoices. You are responsible for any taxes assessed on your use of the Service that TimeQuorum is not required to collect.

If your organization qualifies for tax-exempt status, you must provide valid exemption documentation before your first billing date. Contact us at [email protected] to submit exemption certificates.

7. Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. For details on our refund policy, pro-ration rules, and downgrade procedures, please review our Refund and Cancellation Policy, which is incorporated into these Terms by reference.

8. Acceptable Use

8.1 Permitted Use

You may use the Service solely for your internal business purposes in accordance with these Terms and all applicable laws and regulations.

8.2 Prohibited Conduct

You agree not to, and will not permit others to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Resell, sublicense, or make the Service available to any third party other than authorized users within your organization
  • Upload or transmit viruses, malware, or any other malicious or harmful code
  • Attempt to gain unauthorized access to any part of the Service, its related systems, or networks
  • Use the Service to send unsolicited commercial communications (spam)
  • Scrape, crawl, or systematically extract data from the Service without written permission
  • Use the Service to benchmark or build a competing product
  • Circumvent, disable, or interfere with security-related features of the Service
  • Impersonate any person or entity or misrepresent your affiliation

TimeQuorum reserves the right to investigate suspected violations and may suspend or terminate accounts found to be in violation of this Section without prior notice.

9. Your Data

9.1 Ownership

You own all data, content, and information that you submit to the Service ("Customer Data"), including time entries, project records, client information, invoices, and user-generated content. TimeQuorum does not claim ownership of Customer Data.

9.2 License to TimeQuorum

You grant TimeQuorum a non-exclusive, worldwide, royalty-free license to access, process, store, and display your Customer Data solely as necessary to provide, maintain, and improve the Service, to comply with legal obligations, and as otherwise described in our Privacy Policy.

9.3 Data Export

You may export your Customer Data at any time through the Service's export functions. Upon account termination, you are responsible for exporting your data before the account is closed. TimeQuorum will retain Customer Data for up to 90 days following account closure and may then permanently delete it. TimeQuorum is not liable for any data loss following account closure.

9.4 Workspace Member Data

As Workspace Owner, you are responsible for ensuring that you have appropriate authorization to submit data about your team members, including their time entries and work records. You must inform your team members that their data will be processed by TimeQuorum in accordance with our Privacy Policy.

10. Intellectual Property

The Service and all underlying technology, software, designs, text, graphics, user interfaces, and other content provided by TimeQuorum (excluding Customer Data) are and remain the exclusive property of TimeQuorum, LLC and its licensors, protected by copyright, trademark, and other applicable intellectual property laws.

These Terms do not grant you any rights in the Service's underlying intellectual property. "TimeQuorum" and the TimeQuorum logo are trademarks of TimeQuorum, LLC. You may not use our trademarks without prior written permission.

You retain all intellectual property rights in your Customer Data.

11. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIMEQUORUM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

TIMEQUORUM DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TIMEQUORUM AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, EVEN IF TIMEQUORUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL TIMEQUORUM'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO TIMEQUORUM IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN DAMAGES. IF YOU ARE IN SUCH A JURISDICTION, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless TimeQuorum, LLC and its members, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.

14. Termination

14.1 Termination by You

You may terminate your account at any time by canceling your subscription through the billing settings in the portal and deleting your account. Deletion requests must be submitted in writing to [email protected] to permanently remove your workspace.

14.2 Termination by TimeQuorum

TimeQuorum may suspend or terminate your account immediately, with or without notice, if: (a) you breach any provision of these Terms; (b) we are required to do so by law; (c) we determine, in our sole discretion, that continued provision of the Service is no longer commercially viable. Where practicable, TimeQuorum will provide 30 days' notice prior to terminating service for commercial reasons.

14.3 Effect of Termination

Upon termination, your right to access the Service will immediately cease. Customer Data will be retained for up to 90 days following termination to allow for export, after which it will be permanently deleted. Provisions of these Terms that by their nature should survive termination (including Sections 9–13, 15) will survive.

15. Governing Law and Disputes

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, United States, without regard to its conflict of law principles.

15.2 Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will attempt to respond and resolve the issue within 30 days.

15.3 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall take place in South Carolina, United States. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

15.4 Class Action Waiver

YOU AND TIMEQUORUM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

15.5 Exceptions

Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in South Carolina, United States, to prevent irreparable harm pending arbitration.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email to the address associated with your account and by posting the updated Terms on this page with a new effective date. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.

If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
